Investment Banking/M&A
Seabury Group provides a broad range of M&A,
advisory and capital markets services to corporate and financial
clientele. Investment entities on whose behalf the Seabury Group
has acted include Blackstone Group, Cerberus
Capital Management, Deutsche Bank, Goldman Sachs, Oaktree Capital,
Texas Pacific Group, Wexford Capital Management, Liberty Mutual,
Fortis, and Kemper Insurance. Seabury professionals have represented
or performed consulting services to many companies, including
Air Canada, Air New Zealand, Airbus Industrie, AirTran Holdings,
America West Airlines, Atlas Air Cargo, The Boeing Company, Capital
Cargo, Continental Airlines, Frontier Airlines, Kitty Hawk (Cargo),
Northwest Airlines, Qantas Airways, Ryanair, South African Airways, Spirit Airlines,
Star Alliance, Thai Airways and US Airways. As part of its advisory
to US Airways Group, Inc. in its merger with America West Holdings
Corporation, Seabury arranged and/or advised in raising $829
million of common equity and $1.15 billion of other forms
of debt, supplier liquidity facilities and net asset sale proceeds.
Investment Banking/Structured Finance
Seabury Group’s capital-raising efforts
have included both private equity and debt.
The firm’s principals have structured more than US $100 billion in debt,
equity, M&A transactions and strategic affiliations.
Restructuring
The
firm has provided restructuring advisory services to numerous
airlines.
Seabury served as investment banker and principal restructuring advisor to Northwest Airlines from 2005 to 2007 in its restructuring and its successful emergence from Chapter 11. Seabury was sole financial, restructuring
and M&A advisor to US
Airways in its successful emergence from Chapter 11 and merger with America West
Airlines (September 2005). In that effort, Seabury raised over $680 million of
private equity capital ($840 million of total equity capital) and over $2.2 billion
of total cash financings for the merger. In September 2004 Seabury successfully
completed a business and financial restructuring of Air Canada though Canada ’s
CCAA process. For Air Canada Seabury restructured C$13 billion on-and off-balance
sheet liabilities and raised C$1.1 billion of new equity capital through a combination
of underwritten rights offering (C$850 million) and private equity (C$250 million).
This is one of the largest passenger air carrier equity raises in history. Seabury
advised Air Canada on the arrangement of C$540 million of exit debt financing
as well as on financing for a new regional jet order, and on restructuring its
network, distribution system and fleet.
Also in 2003/2004 Seabury served as financial advisor to Avianca ( Colombia ’s
flag carrier) in respect to its restructuring under Chapter 11 (the first non-US
company to do so under the US Chapter 11 process).
Previous engagements
include highly successful corporate restructuring assignments
for America West Airlines, Inc., Continental Airlines,
Inc., and Kitty Hawk.
Management Consulting/IT
Seabury has provided IT, management strategic
and operational advisory services to various airline companies.
