Roy Clauss, who joined the Seabury Group in April 2002, has 25 years of investment banking experience across a broad range of debt, equity, M&A and other products. He has completed over $50 billion of transactions for clients in a diverse group of industries and companies, both domestically and internationally. As a former Managing Director and Transportation Group Head at each of Salomon Brothers and Lehman Brothers, he specialized for many years in the transportation industry including airlines, airfreight, aircraft leasing, aircraft manufacturing, airport, rail, truck, ship and cruise companies. In the airline industry, his clients have included American Airlines, Inc., America West Airlines, Inc., Continental Airlines, Inc., Delta Air Lines, Inc., Northwest Airlines, Inc., United Airlines, Inc., Southwest Airlines, Inc., and US Airways, Inc. Mr. Clauss also advised each of the British and Canadian governments in connection with the privatizations of British Airways and Air Canada, respectively. Major M&A assignments included representing American Airlines in its defense against an unsolicited takeover offer from Donald Trump, the United Airlines pilots in connection with their effort to acquire United, the sale of Trans World Airlines, Inc. to Carl Icahn, and the sale of Eastern Air Lines, Inc. to Texas Air Corporation. Mr. Clauss has worked with management, governments, shareholders, creditors, labor unions, special committees of boards of directors, rating agencies, other related constituencies and other related businesses. He has advised all of the world's three leading aircraft lease financing companies on complex and innovative financial structures, including the use of insurance and other financial guarantees and the use of cross-border tax, security and foreign currency arrangements. He has a broad set of relationships in the transportation industry and is very knowledgeable with respect to the most complex strategic and financial issues facing transportation companies. Mr. Clauss was the only investment banker who testified before President Clinton's Airline Commission. Mr. Clauss' international experience includes working for Salomon Brothers for several years in Hong Kong and Tokyo. He is also very familiar with private equity (LBO and venture capital) institutions where, in addition to transportation transactions, he has been involved with leisure, broadcasting, and Internet companies. Mr. Clauss received a B.A. from Amherst College and an M.B.A. from Harvard Business School. He is a licensed pilot. Mr. Clauss is a NASD Registered Principal, and is Series 7, 63 and 24 qualified. |
