Former Airline Executive Joins Seabury Airline Planning Group, LLC

WASHINGTON, November 11, 2004 - Seabury Airline Planning Group, LLC today announced that Michael Swiatek, former Air New Zealand executive, has joined the firm as a senior vice-president, with responsibility for advising airline and airport clients on strategic and network issues in the Asia Pacific region.

Mr. Swiatek most recently served as general manager, Joint Ventures at Air New Zealand, reporting to the CFO. In that role, he was responsible for economic and quantitative analysis in relation to mergers & acquisitions and strategic alliances. He also was instrumental in developing and guiding Air New Zealand’s recapitalization and turnaround since September 2001. This included leading the effort to transform the carrier’s domestic service into a low-cost model and re-positioning the network after the liquidation of Ansett Australia

Before joining Air New Zealand in 1999 to centralize all network and revenue management functions, Mr. Swiatek was a director with Alitalia in Rome, where his principal duties involved network and schedule management. In 1995, he worked with Continental Airlines during its turnaround. He began his career in 1992 with United Airlines.

Mr. Swiatek has an MBA in Finance from the University of Chicago and a BA in International Studies from Iona College.

"The experience that Mike brings to Seabury APG in the areas of strategy, business turnarounds, and network management will be invaluable to our clients," said David Bental, a Seabury APG principal.

Founded in 1995, Seabury Group provides investment banking, financial advisory, restructuring and consulting services, primarily for transportation companies and those in related industries. With more than 75 professionals in the United States and Europe, Seabury has one of the largest investment banking, restructuring, and management consulting practices in the world dedicated to the transportation sector. Airline Planning Group became part of Seabury Group in July 2003.

Seabury APG is a seven year-old, full-service aviation consulting firm. The firm focuses on network planning and fleet planning issues, and has developed a complete suite of tools and data required to successfully consult to the aviation community. Seabury APG's main office is in Reston, Virginia, with secondary offices in Los Angeles, Silicon Valley, Vienna, Austria and Auckland, New Zealand. All Seabury APG consultants have extensive U.S. and international experience and have worked for carriers in all of the largest aviation markets.

Seabury Group served as investment banker and financial advisor to Air Canada in its recent restructuring of approximately C$13 billion of debt and lease obligations, and on raising C$1.1 billion of new equity capital through a combination of underwritten rights offering (C$850 million) and private equity (C$250 million). It was one of the largest passenger air carrier equity raises in history.

The company also advised Air Canada on the arrangement of C$540 million of exit debt financing as well as on financing for a new regional jet order, and on restructuring its network, distribution system and fleet, and on corporate-wide cost-reduction initiatives.

In addition to its work for Air Canada, Seabury has been engaged by US Airways Group and Avianca, a Colombian airline. The company previously advised America West Airlines, Inc. (2001) and Continental Airlines, Inc. (1995) in their successful “out-of-court” restructurings. Other assignments include M&A and financial advisory work for such investment funds as Blackstone Capital L.P., Oaktree Capital Management and Texas Pacific Group L.P. and creditor assignments for such financial institutions as US Eximbank, Deutsche Bank, and Lehman Brothers.
